Terms of Service

These Terms are a binding agreement between you and PRISM. They cover how you may use the app, what you may not do with it, how billing works, and the rules we enforce to keep the Service safe. Please read them carefully. By creating an account or using PRISM, you agree to everything below.

Acceptance of these Terms

By downloading, installing, accessing, or using PRISM (the "Service"), or by creating an account, you agree to be bound by these Terms of Service (the "Terms") and by any policies referenced in them, including our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms, and "you" refers to that organisation.

Eligibility

You must be at least 18 years old, or the age of legal majority where you live, and legally able to enter into a contract. You must not be barred from using the Service under the laws of your country, and you must not be located in a jurisdiction subject to sanctions that would make your use unlawful.

Definitions

  • "App" means the PRISM desktop software.
  • "Output Audio" means any audio produced, converted, or generated by the Service, including real-time streams and any recordings of them.
  • "Account" means the credentials and record associated with your use of the Service.
  • "Subscription" means a paid plan that grants access for a recurring period.
  • "Target Voice" means a voice into which your speech is converted.

Accounts & security

  • You must provide accurate information and keep it up to date, and verify your email address when asked.
  • You are responsible for all activity under your Account and for keeping your password secure. Notify us immediately of any unauthorised use.
  • Each person may hold one Account. Creating multiple Accounts to obtain additional free trials, evade a ban, or otherwise abuse the Service is prohibited.
  • Your licence is bound to your device(s). We may limit the number of devices associated with an Account.

Free trial, subscriptions & billing

  • A 3-day free trial begins when you create an Account. One trial is available per person and per device.
  • After the trial, continued use requires a paid Subscription (monthly or yearly). Prices are shown at checkout in your applicable currency.
  • Subscriptions renew automatically at the end of each period using your selected payment method until you cancel. You authorise us and our payment processor to charge the applicable fees, including any taxes.
  • You can cancel at any time; cancellation stops future renewals and takes effect at the end of the current period. Except where required by law, fees already paid are non-refundable, and fees are non-refundable where an Account is terminated for cause.
  • If a payment fails, we may retry, suspend access, and, after notice, cancel the Subscription. You are responsible for keeping payment details current.
  • We may change prices; changes apply to renewals after we give reasonable notice.

Licence to use PRISM

Subject to these Terms and payment of applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable licence to install and use the App on your own device(s) for your own lawful use. All rights not expressly granted are reserved.

You may not rent, lease, lend, sell, redistribute, host as a service, or otherwise make the App available to third parties.

Acceptable use

You are solely responsible for how you use the Service and for the Output Audio you create. You must comply with all applicable laws and with the terms of any platform you route PRISM into (for example video-call, streaming, or gaming services). You must obtain any consent required before altering, transmitting, or recording a conversation.

Prohibited conduct

You must not use the Service to, or to attempt to:

  • Impersonate any real person or organisation in order to deceive, defraud, harm, or gain something of value, or in a way a reasonable person would find deceptive.
  • Commit or facilitate fraud, scams, social engineering, phishing, or extortion, or to bypass identity verification, voice biometrics, "know-your-customer" checks, or any security or authentication system.
  • Clone or imitate a specific real person's voice without that person's clear consent.
  • Harass, threaten, defame, bully, or incite violence or hatred against any person or group.
  • Create or distribute content that is illegal, including any content that sexualises minors, promotes terrorism, or violates another's rights.
  • Interfere with elections, spread unlawful disinformation, or misrepresent Output Audio as an authentic recording of a real person.
  • Reverse engineer, decompile, tamper with, or circumvent any part of the Service, its licensing, its usage limits, or its security.
  • Remove, disable, degrade, obscure, or otherwise defeat the watermark described below.
  • Use bots, automation, or resale to exceed or commercialise your licence.
Zero tolerance

Using PRISM to defraud people or impersonate someone in order to deceive them is a serious violation. We will ban the Account, may preserve and disclose records to law enforcement, and will cooperate with investigations.

Output watermarking

All Output Audio produced by the Service contains an inaudible digital watermark that is embedded automatically and cannot be switched off. This watermark is designed not to affect ordinary listening quality.

The watermark allows Output Audio to be identified as machine-generated and, where necessary, associated with the Account that produced it. This exists to deter and investigate misuse such as fraud and non-consensual impersonation.

By using the Service, you acknowledge and consent to this watermarking. You must not attempt to remove, strip, weaken, mask, or otherwise interfere with the watermark, and any such attempt is a material breach of these Terms.

In plain terms

Everything PRISM outputs carries a hidden, tamper-resistant marker that identifies it as PRISM-generated. It doesn't change how the audio sounds, and it can't be turned off.

Monitoring, suspension & bans

We may, using both automated systems and human review, monitor Account activity and technical signals to detect fraud, abuse, and violations of these Terms.

We reserve the right, at our sole discretion and without prior notice, to warn, throttle, suspend, restrict, disable, or permanently ban any Account, and to revoke any licence, where we reasonably believe it is involved in:

  • fraud, payment fraud, or chargeback abuse;
  • impersonation intended to deceive, defraud, or harm;
  • any unlawful activity or violation of these Terms;
  • circumvention of trial, device, or licensing limits, including creating multiple Accounts to abuse free trials;
  • attempts to defeat the watermark or the Service's security; or
  • any other conduct we reasonably consider malicious or a risk to other users, the Service, or third parties.

Where an Account is terminated for cause, no refund will be issued. We may retain associated records for legal, security, and fraud-prevention purposes.

Fraud & security signals

To protect the Service and its users, the App and our servers collect and process technical and device signals for security and fraud prevention.

We use these signals to detect suspicious Accounts, to flag them for review, and, where warranted, to suspend or ban them automatically. You consent to this processing as a condition of using the Service. We do not need, and do not use, the content of your conversations for this purpose; voice conversion runs locally on your device.

Your content & consent

You retain ownership of the audio you feed into the Service. You are responsible for having the rights and consents necessary for that input and for any Target Voice you use, and for how you distribute the Output Audio. You grant us only the limited rights needed to operate, secure, and improve the Service.

Intellectual property

The Service, including the App, its models, software, design, and trademarks, is owned by PRISM and its licensors and is protected by law. These Terms grant you no ownership. If you send us feedback, you grant us a perpetual, royalty-free licence to use it without obligation to you.

Third-party services

The Service relies on third parties, including payment processors and cloud providers. Your use of those services may be subject to their own terms, and we are not responsible for their acts or omissions. Routing PRISM into another application does not make us responsible for that application.

Privacy

Our Privacy Policy explains what we collect and why. Voice conversion runs locally on your device, and your conversation audio is not uploaded to us for processing. Account, billing, and security data are processed as described in the Privacy Policy, which forms part of these Terms.

Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, non-infringement, or that the Service will be uninterrupted, error-free, or secure. You use the Service at your own risk and are responsible for the legality of your use in your jurisdiction.

Limitation of liability

To the maximum extent permitted by law, PRISM and its operators will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or reputation, arising from or related to the Service or your use of it. Our total aggregate liability for any claim will not exceed the amount you paid us for the Service in the three months before the event giving rise to the claim.

Indemnification

You will indemnify, defend, and hold harmless PRISM and its operators, officers, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use or misuse of the Service, your Output Audio, or your breach of these Terms or of any law or third-party right.

Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by email or in the App. Your continued use after changes take effect means you accept the updated Terms.

Termination

You may stop using the Service and cancel your Subscription at any time. We may suspend or terminate your access as described in these Terms. On termination, your licence ends and you must stop using the App. Sections that by their nature should survive termination, including watermarking, prohibited conduct, intellectual property, disclaimers, liability, and indemnification, will survive.

Governing law & disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Nigeria for any dispute that is not otherwise resolved, except that we may seek injunctive relief in any competent court to protect our rights or the Service.
